What is an Accredited Investor?
An accredited investor is an individual or entity that meets specific financial thresholds set by securities regulators, making them legally permitted to invest in unregistered securities offerings.
Most property token offerings structured as private placements are restricted to accredited investors, as the regulatory frameworks under which they are issued such as SEC Regulation D in the US require that participants have sufficient financial sophistication and capacity to bear investment risk.
The US Accredited Investor Definition
Under SEC rules, an individual qualifies as an accredited investor if they have annual income exceeding $200,000 (or $300,000 jointly with a spouse) in each of the two preceding years, with a reasonable expectation of the same in the current year, or if they have a net worth exceeding $1 million, excluding the value of their primary residence.
The SEC has also expanded the definition to include individuals with relevant professional credentials holders of Series 7, Series 65, or Series 82 licences and knowledgeable employees of private funds. For entities, the threshold is $5 million in assets, or a requirement that all equity owners are themselves accredited investors.
Why Accreditation Matters for Token Offerings
Securities regulations in the US allow companies to raise capital from accredited investors without registering the offering with the SEC, provided they comply with the terms of an applicable exemption such as Regulation D. This is the route most property token platforms use for private offerings, as full SEC registration is costly and time-consuming.
The trade-off is that the investor pool is restricted. Only accredited investors can participate in a Reg D offering, which limits access compared to a fully registered or Regulation A+ offering. Platforms must verify accreditation status during KYC onboarding and maintain records demonstrating that the offering was made exclusively to eligible investors.
Verification of Accredited Status
Self-certification where an investor simply ticks a box declaring their accredited status is no longer considered sufficient for Regulation D offerings following SEC guidance. Reasonable steps to verify accreditation are required. Accepted verification methods include reviewing recent tax returns or W-2 forms to confirm income thresholds, reviewing bank or brokerage statements to confirm net worth, or obtaining written confirmation from a licensed attorney, CPA, or registered investment adviser.
In a compliance-native token architecture, verified accreditation status is linked to the investor’s on-chain identity as a claim. Equivalent Standards in the UAE
The UAE does not use the term accredited investor but has analogous categories. Under ADGM regulations, Professional Clients defined by net assets or investment portfolio thresholds can access a wider range of investment products than retail investors. VARA’s framework for digital asset offerings similarly distinguishes between retail and institutional or professional participant categories, with different product eligibility rules applying to each.
Platforms operating in both the US and UAE must apply the relevant eligibility standard to each investor population, maintaining separate verification processes and on-chain identity claims that reflect the applicable jurisdiction’s requirements.
