    The Node Infrastructure

    Node Proptech Inc., a Delaware corporation headquartered in Oklahoma City ("Node"), operates a digital infrastructure platform designed to facilitate real estate capital formation and digital ownership records. Node provides the technology layer supporting:

    • Identity verification and compliance workflows.
    • SPV-based investment documentation.
    • Digital ownership recordkeeping and distribution management.

    Important Note

    Node provides infrastructure. We do not guarantee investment performance, and nothing on the platform should be construed as financial or legal advice.

    Participation Standards

    To access the Platform, you must be at least 18 years of age and possess the legal capacity to enter binding agreements.

    Accreditation: Certain services are strictly restricted to Accredited Investors under the Regulation D securities framework.
    Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.

    Regulatory Obligations

    To maintain a secure and compliant environment, Node requires all users to complete identity verification.

    KYC/AML: We perform Know Your Customer and Anti-Money Laundering screenings.
    Third-Party Providers: Node may use specialized third-party services to conduct these checks.
    Verification Failure: Failure to provide accurate information or complete the verification process will result in restricted access or account termination.

    Acknowledgment of Risk

    Investments in real estate via digital infrastructure involve significant risk. By using the Platform, you acknowledge:

    Illiquidity: Real estate investments are generally illiquid and may be subject to holding periods.
    No Guarantees: Returns are not guaranteed, and past performance is not an indicator of future results.
    Independent Advice: Users should consult with independent financial, legal, and tax advisors before committing capital.

    Acceptable Use

    Users are prohibited from:

    • Using the Platform for any fraudulent or illegal activity.
    • Attempting to disrupt platform operations or distribute malicious code.
    • Reproducing or modifying Node's intellectual property without express written consent.

    Infrastructure Boundaries

    To the fullest extent permitted by law, Node and its affiliates shall not be liable for indirect or consequential damages, lost profits, or investment losses arising from the use of our infrastructure. Our total liability is limited to the amount paid by the user to Node during the preceding twelve-month period.

    Governing Law & Arbitration

    These Terms are governed by the laws of the State of Delaware. Any disputes arising from these Terms or use of the Platform shall be resolved through binding arbitration, and users waive the right to participate in class actions or jury trials.
