    Project Overview

    Victory Villas is the first live asset offered through the Node platform. The per-SPV structure gives investors granular control and transparency. Rather than owning a blended interest in a four-unit development, investors own units directly through dedicated SPVs.

    Each SPV has its own cap table, operating agreement, and investor reporting. An investor who wants exposure to Unit 1 but not Units 2-4 can participate in the Unit 1 offering alone.This granularity appeals to investors with specific preferences or limited capital for each investment.

    The project consists of:

    four townhouse units in Oklahoma City

    each held in its own dedicated Special Purpose Vehicle. This per-asset SPV structure means each townhouse is a separate legal entity with its own offering, its own investors, and its own operating agreement.

    The project is structured under the Reg D 506(c) exemption for verified accredited investors, with a Reg S parallel structure available for eligible non-U.S. participants. Each SPV issues tokenized ownership interests that represent fractional equity in the entity that holds the property.

    Development and Construction Team

    Victory Builders LLC is the builder, executing the physical construction using insulated concrete form (ICF) construction exclusively.CPH LLC structured the financing, secured the land, managed the entitlements and permitting, and brought the offering to market. These functions are as important as construction itself. ICF is a building method that produces structures with superior energy efficiency, durability, and disaster resistance compared to conventional wood-frame construction.

    Victory Builders' commitment to ICF-only construction aligns with Sustainable Development Goals, a factor that distinguishes the project from conventional multifamily development. The construction method reduces long-term operating expenses and supports stronger net operating income over the holding period.

    Property Management and Operations

    Maidaan Properties' compensation is typically tied to revenue percentage (a percentage of collected rents) and potentially bonus provisions for achieving occupancy or expense targets.

    This alignment of incentives helps ensure that the property manager shares the investor's interest in strong performance.

    Maidaan Properties serves as the property manager for Victory Villas, handling day-to-day operations including:

    Leasing

    Tenant communication

    Rent collection

    Maintenance

    Expense management.

    The property manager's performance directly affects:

    occupancy rate,

    operating expenses,

    and net operating income

    all of which determine the distributions paid to ownership-interest holders.

    Property management fees, scope of responsibilities, and performance expectations are defined in the management agreement between the SPV and Maidaan Properties. These terms are disclosed in the offering materials.
